First quarter of 2019 | What’s new in DSK?

The first quarter of 2019 brought several new challenges and changes in DSK.                                                                                                                                                                                                                                                         

I.Our team and our organization grows and develops:

 / We welcomed Marta Dziewulska, Natalia Cieplińska and Marcin Palusiński in the group of DSK partners we and started the process of transforming DSK into a limited partnership.

 / Marianna Klejewska, Łukasz Masztalerz and Paweł Janicki strengthened our Corporate & IT Law Department, Makary Wajdziak and Monika Redzynska joined our Debt Management Department. Welcome aboard!

 / We have already settled in our second office in Poznan. Now we are looking for a place in Warsaw for our DSK Warsaw Legal Desk.

 / We have been appointed for the provision of legal assistance in a very prestigious and precedent case – the first administrative penalty for breach of the GDPR imposed in Poland. DSK team under the direction of prof. Michał Jackowski, in cooperation with the LexDigital team, helps to prepare and file a complaint in this matter.

 / We joined Euro Latam Lex – network of leading independent law firms from Europe, particularly from Central and Eastern Europe and Latin America countries. For DSK, providing legal services to Spanish origins companies, participation in an organization providing international support has become a natural need. By joining EURO LATAM LEX we want to develop and increase our ability to respond better to the needs of our clients.

 

 II. Our lawyers actively participated in the conferences and symposiums:

 / DSK was a partner of the most important conference for the construction sector „Polish Infrastructure & Construction”, which took place in February 2019. Marta Dziewulska participated in a discussion panel on road infrastructure, exchanging her views and experiences with representatives of contractors, insurers and ordering parties. The debate was dominated by the subject of contracts valorization, the draft of the new Public Procurement Law and the potential for implementation under public-private partnership. The culmination of the conference was “Infrastructure & Construction Diamonds” Gala for the most outstanding entities in the industry. Jakub Depa, DSK Partner presented the prize in one of the competition categories.  Congratulations to our clients for the awards and distinctions!

 / Professor Michał Jackowski gave lecture at the XXVI World Law Congress organized in Madrid by the World Jurist Association. He also gave a presentation during the Corporate Legal Counsel Forum conference – the meeting of professionals managing legal departments in Polish and international corporations.

 / Our law firm was also a partner of the Congress on Legal Regulations in the Debt Management Area. Łukasz Szmit, DSK Partner participated in the panel on legislative changes in the environment of bailiffs.

 / Marta Ciesielska, Patrycja Niemczyk and Michał Solarski took part in Legal Practices Day organized by ELSA, sharing their knowledge with young legal adepts. Patrycja Niemczyk and Michał Solarski also represented DSK during AIESEC Career Days.

 / Paweł Kuźmiak shared his knowledge and experience regarding the implementation of the Innovation Box during a webinar organized by SODA – the Software Development Association in Poland. According to the information received by organizers, he enjoyed a great interest.

 / Łukasz Lewandowski took part in the “Restructuring and bankruptcy of enterprises – practical aspects” conference, where he had an opportunity to share his experience gained as a restructuring advisor.

 

III. The first quarter brought also some new successes of our lawyers:

 / The IT and IOT Law Team led by Natalia Cieplińska and the Tax Department led by Marcin Palusiński implemented the first IP BOX for software house, which effectively saves 10% of the income for the client. We continue several processes of implementing R&D and IP Box tax preferences for other clients, mainly from the IT industry.

 / The Investment Support and Public Procurement Department started providing the legal assistance relating to two contracts for the construction of expressways. We provide our clients with such service as: claims, legal support, preparation of programs, settlements, financial flows. 

 / DSK’s great success is the completion of the agreements and settlements negotiation regarding the change of 3 contracts on the construction of provincial roads due to the extraordinary increase in the prices of materials and services in the construction sector (contracts established in 2016).

 / Debt Management Department won two large clients with a total portfolio of receivables exceeding PLN 50 million. Winning the precedential case regarding a complaint against the bailiff’s enforcement fee was important for the costs of managing claims. It allows avoiding this payment (PLN 150) in each of the cases initiated for clients. We estimate savings by several million zlotys a year.

 / Bankruptcy & restructuring law section is becoming increasingly important as the part of our Debt Management Department. Łukasz Lewandowski acting as a restructuring advisor completed 4 proceedings.

 / The Corporate and IT Law Department participated in several important transactions:

  we helped one of our new technology’s clients to part with the business partner, establishing a good repayment policy for the company

  our client from the IT sector has launched a motivational program with our help and issued the first employee shares;

  we continue our legal assistance in the process of co-financing based on the issue of shares and bonds for a company that uses insects to process organic matter;

 – we conducted due diligence of a large chemical company for a German investor and we are currently assisting in the process of acquiring its shares;

  we helped in signing the Term Sheet related to co-financing of an innovative start-up from the energy sector by a large industry investor.
